By accessing or using any service, product, or platform operated by Narada Studios Private Limited ("Narada Studios," "we," "our," or "us"), you agree to be bound by these Terms of Service and all applicable laws and regulations of India. If you do not agree with any part of these terms, you must not use our services. These Terms govern your use of: • AI Filmmaking OS (vibe-filmmaking.naradaaisage.com) • Digital Dupe — Autonomous AI agent & business persona platform (digital-dupe.naradaaisage.com) • Trailer Doc — AI pre-production tool (trailer-doc.naradaaisage.com) • Co-Director Growth Program — Affiliate sales partner network • Any other product, service, or platform we may launch These Terms are governed by the laws of India and subject to the jurisdiction of courts in Hyderabad, Telangana.

Narada Studios Private Limited (CIN: U58200TS2026PTC209473) is a DPIIT Recognized Startup incorporated in Hyderabad, Telangana, India (January 09, 2026), accepted into the Google for Startups Program. Our product ecosystem serves two primary markets: CREATORS & FILMMAKERS: • AI Filmmaking OS — Full 6-stage AI filmmaking OS with 11 AI crew agents (Script → Plan → Cast → Storyboard → Film → Edit) supporting 12+ Indian languages • Trailer Doc — AI pre-production suite generating a 20-slide pitch deck, interactive lookbook URL, and a cinematic 90-second trailer from a synopsis BUSINESSES & ENTREPRENEURS: • Digital Dupe — Custom AI persona and mini e-commerce PWA for local businesses, deployed on WhatsApp Business API and a branded web Progressive Web App (PWA) • Co-Director Growth Program — Affiliate network where partners earn 15% recurring commissions by onboarding local businesses onto Digital Dupe All products are live, production-deployed, and actively commercially available.

• You must be at least 18 years old to use any Narada Studios service • For AI Filmmaking OS: Sign-in methods supported: Google OAuth, verified email address + password, or email link (magic link). You are responsible for all activity under your account • For Digital Dupe (business subscribers): You represent that you have authority to bind the business entity you are creating a Dupe for • For Co-Director Program: You must be an Indian resident, complete KYC verification (PAN or Aadhaar + bank penny drop), and be at least 18 years old • One account per user/business entity; do not share account credentials • You must not use any Narada Studios service for illegal, harmful, fraudulent, or deceptive purposes • Accounts found in violation may be suspended or terminated without notice

• New users on Narada Studios receive ₹500 / $5 Welcome Budget upon sign-up (non-transferable, non-refundable) • Additional budget can be topped up via Cashfree (UPI Direct — 0% fee; Cards/Stripe — 1.6% fee) • Budget is deducted per AI task at published rates (paise/cent true deduction) • Unused purchased balance does not expire and is non-refundable unless the platform is terminated (see Refund Policy) • Welcome Budget expires after 180 days of account inactivity • All prices are displayed in INR by default with USD toggle available; prices are inclusive of applicable taxes • Cashfree processes all payments; we do not store card or UPI details

• You retain full ownership of all creative output (scripts, images, videos, audio) generated using your prompts on Narada Studios and Trailer Doc • Narada Studios does not claim ownership of your AI-generated content • You grant us a limited, non-exclusive license to store and process your content solely to provide and improve the service • You must not generate content that is illegal, hateful, obscene, constitutes deepfakes, defames real individuals, or infringes third-party intellectual property rights • AI-generated content may not always be accurate — exercise professional judgment before commercial use • You are solely responsible for ensuring your use of AI-generated content complies with applicable Indian laws • We reserve the right to remove content that violates these terms or applicable law within 3 hours of a valid complaint in accordance with the IT (Intermediary Guidelines) Rules, 2026

• Digital Dupe subscriptions are monthly SaaS plans billed in advance: ₹2,999/mo (Lead Capture), ₹9,999/mo (Autonomous Sales Agent), ₹14,999/mo (Enterprise Omnichannel) — all exclusive of 18% GST • Subscriptions auto-renew monthly unless cancelled at least 48 hours before the next billing date • A 15-day free trial is available for new business sign-ups; the trial is capped at 5 showcase products and 50 lead captures • Upon trial expiry, the Dupe enters a soft-cutoff state until the business owner upgrades via Cashfree • Subscriptions initiated through a Co-Director referral link receive an ungated trial (no 50-lead soft cutoff) during the evaluation period • You are responsible for maintaining the accuracy of your business knowledge base and AI responses; Narada Studios is not liable for incorrect, misleading, or harmful information provided by your Dupe to your customers • Enterprise plans include up to 5 brand Dupes; additional Dupes are billed separately • Downgrading mid-cycle takes effect at the next billing date; no pro-rata credit is issued for downgraded plans

• Digital Dupe Enterprise plans include WhatsApp Business API integration via Meta's Cloud API • All automated outbound messaging must comply with Meta's WhatsApp Business Policy and use approved message templates • You must not use the WhatsApp API integration for unsolicited bulk messaging, spam, or any purpose that violates Meta's terms • As of January 15, 2026, Meta prohibits general-purpose AI chatbots on the WhatsApp platform; your Digital Dupe must be scoped to specific business functions (customer support, product inquiries, appointment booking) • You are responsible for obtaining valid consent from your WhatsApp contacts before initiating conversations • You acknowledge that Narada Studios is the platform provider, not the WhatsApp Business Solution Provider (BSP); all messaging is subject to Meta's infrastructure policies • Meta may suspend or terminate WhatsApp API access independently; Narada Studios is not liable for such suspension

• When your Digital Dupe captures visitor leads (name, phone number, WhatsApp number) via the Inline Lead Capture Engine, that data belongs to you (the subscribing business), not to Narada Studios • You are the Data Fiduciary for all customer data captured by your Dupe; Narada Studios acts as a Data Processor as defined under the Digital Personal Data Protection Act, 2023 • You must maintain a clear privacy notice on your business touchpoints (website, store, WhatsApp) informing your visitors that they may interact with an AI agent and that their data will be captured • You must not use captured visitor data for any purpose beyond the scope declared to your visitors • Visitor lead data is stored in our secure Firestore infrastructure and accessible only to you (the business owner) via your dashboard • Narada Studios does not sell, share, or use your visitor lead data for any purpose other than providing the Digital Dupe service to you

• Trailer Doc operates on a per-output unlock model: ₹1,525 / $15.25 per complete pre-production package (20-slide PDF, interactive lookbook URL, 90-second cinematic trailer) • The ₹1,525 unlock fee is non-refundable upon successful generation of all three deliverables • If a technical failure prevents full generation of the package (all 3 outputs), the ₹1,525 unlock fee is automatically refunded to the original payment method within 24 hours. Trailer Doc is a project-based, per-output product — there is no ongoing wallet or balance associated with it • AI-generated content within Trailer Doc (scripts, visuals, trailer footage, character portraits) is subject to the same ownership and acceptable use terms as Narada Studios (Section 5 above) • Lookbook URLs are hosted on Narada Studios infrastructure; we reserve the right to suspend access to lookbook URLs associated with content that violates these terms

• Participation in the Co-Director Growth Program requires completion of KYC verification (PAN card or Aadhaar card via Cashfree DigiLocker, plus a ₹1 bank penny drop for name matching) • "Co-Director" is a creative branding title for Narada Studios' affiliate sales partners, inspired by film industry terminology. This designation does NOT constitute a registered corporate directorship, board membership, or employment relationship under the Indian Companies Act, 2013 or any labor law. Co-Directors are independent sales partners. • You earn 15% recurring monthly commission on each active Digital Dupe subscription you source; commissions are credited only for months in which the referred business has paid their subscription • Commission payouts are processed via Cashfree Easy Split with a T+3 settlement timeline • If a referred business cancels their subscription, your commission for that business ceases; if they upgrade, your commission recalculates on the upgraded plan amount • You are prohibited from creating fraudulent or fictitious referrals; clawback applies in cases of fraud, chargeback, or dispute (see Section 11) • You must comply with ASCI disclosure guidelines and clearly disclose your commercial relationship with Narada Studios (#NaradaPartner or equivalent) in all promotional content • The Co-Director Program Agreement & Terms (/codirector-terms) forms part of these Terms of Service and applies to all Co-Director participants

• Commissions are subject to a 30-day hold from the date of the client's first payment before becoming eligible for payout • Narada Studios reserves the right to reverse or clawback commissions in the following cases: — The referred client initiates a chargeback or payment dispute — The referred client cancels within 30 days of their first payment — The referral is determined to be fraudulent or in violation of these terms — The Co-Director's account is terminated for policy violations • Disputed commissions will be investigated within 48 hours of a written dispute submitted to codirector@naradaaisage.com • Co-Directors with PAN on file will have 2% TDS deducted automatically once annual earnings exceed ₹20,000 (Income Tax Act threshold, Section 194H) • Co-Directors verified via Aadhaar only will receive a warning at ₹17,000 in annual earnings and must submit PAN before commissions cross ₹20,000 to avoid 20% TDS deduction

• All Digital Dupe instances are autonomous AI agents; any person interacting with a Digital Dupe is interacting with an artificial intelligence system, not a human representative • All Digital Dupes must display a clear disclosure to visitors at the start of each interaction that they are speaking with an AI agent ("Powered by Narada Digital Dupe · AI Agent") • Narada Studios requires all business subscribers to maintain this AI disclosure and prohibits removal or masking of the AI agent label • If a visitor requires human assistance beyond the AI's capability, the Dupe must provide a clear escalation path (phone number, email, or human WhatsApp contact) • Business subscribers must not configure their Digital Dupe to impersonate a human employee or claim to be a human when directly asked • Non-compliance with AI agent disclosure obligations may result in subscription suspension

You must not use any Narada Studios service to: • Generate, distribute, or host deepfakes, non-consensual intimate imagery, or synthetic impersonations of real individuals • Create content that incites violence, promotes hate speech, or violates Indian law • Spread misinformation or disinformation using AI-generated media • Conduct phishing, fraud, or any deceptive commercial practice • Remove, circumvent, or obscure AI content labeling or provenance markers • Use AI agents to misrepresent their nature (claiming to be human when they are not) • Reverse-engineer, copy, or create derivative works of our platform, software, or AI models • Violate any third-party intellectual property rights We maintain a proactive moderation framework and will remove unlawful synthetic content within 3 hours of receiving a valid complaint per IT (Intermediary Guidelines) Rules, 2026.

• The Narada Studios platform, Digital Dupe platform, Trailer Doc, Narada brand, software, system prompts, AI architectures, and underlying technology are the exclusive intellectual property of Narada Studios Private Limited • You may not copy, modify, reverse-engineer, sublicense, or create derivative works of any part of our platforms • Co-Directors are granted a limited, non-exclusive, revocable license to use Narada Studios brand assets (logos, product images, approved marketing materials) solely for the purpose of promoting the Digital Dupe service to prospective business clients; this license terminates upon exit from the Co-Director program • You retain ownership of all original content you create using our platforms; you do not acquire ownership of any underlying AI models, system prompts, or platform technology

• Narada Studios' total cumulative liability to you for any claims arising from your use of our services shall not exceed the amount you paid to us in the 3 months preceding the claim • We are not liable for any indirect, incidental, consequential, punitive, or special damages arising from your use of our platforms • We do not guarantee uninterrupted, error-free, or perpetually available service; AI models may be updated, deprecated, or unavailable due to third-party provider changes • We are not liable for the accuracy, appropriateness, or legality of AI-generated content; you are solely responsible for reviewing and validating AI outputs before commercial use • We are not liable for the actions of Digital Dupe AI agents as directed and configured by business subscribers; the subscribing business is responsible for their Dupe's behavior and accuracy • We are not liable for WhatsApp API downtime, Meta policy changes, or third-party model provider outages that affect service availability

In accordance with the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 and the IT Amendment Rules, 2026, we have designated a Grievance Officer for all platform-related complaints: Grievance Officer: Name: Srinivasa Rao Maruboyina Designation: Founder & Director Email: invoke@naradaaisage.com Phone: +91 833 100 1525 Address: 401, Akshara Sai Residency, Road No 5, Nizampet, Hyderabad – 500090, Telangana, India Working Hours: Monday to Saturday, 10AM – 6PM IST You may file a complaint regarding: • Unlawful or harmful AI-generated content • Privacy or data protection concerns • AI agent behavior on any Digital Dupe • Account termination or suspension disputes • Any other platform-related grievance We will acknowledge your complaint within 24 hours and resolve it within 30 days of receipt. Unlawful synthetic content takedown requests are processed within 3 hours.

• We may suspend or terminate your access to any service if you violate these terms, applicable law, or third-party platform policies • Upon termination: all licenses granted to you cease; unused purchased credits are handled per our Refund Policy; Co-Director commissions accrued but not yet paid are subject to final audit before release or forfeiture • You may terminate your account at any time by emailing support@naradaaisage.com • Business subscribers wishing to cancel a Digital Dupe subscription must cancel at least 48 hours before the next billing cycle to avoid renewal charges • Co-Directors wishing to exit the program must notify us in writing; pending commissions will be paid out within 30 days of final verification

Governing Law: These Terms are governed by and construed in accordance with the laws of India. All disputes shall be subject to the exclusive jurisdiction of the courts of Hyderabad, Telangana, India. Dispute Resolution: Parties agree to attempt good-faith resolution of any dispute before initiating legal proceedings. Unresolved disputes may be referred to arbitration under the Arbitration and Conciliation Act, 1996, with arbitration to be conducted in Hyderabad. Regulatory Authority: We acknowledge the jurisdiction of the Data Protection Board of India (DPBI) under the Digital Personal Data Protection Act, 2023, for data-related complaints. Changes to Terms: We may update these Terms at any time. Material changes will be communicated via email or in-app notification. Continued use of any Narada Studios service after the effective date of changes constitutes acceptance of the updated Terms.
